Artisan Consignment Form

1. Purpose

The Artisan agrees to consign goods (“Products”) to the Store for retail sale under the terms outlined herein. Both parties intend for this to be a mutually beneficial relationship that supports local artisans and strengthens The Gray Hare’s curated retail offerings.

2. Term & Termination

  • This Agreement begins on the date signed and continues month-to-month.
     

  • Either party may terminate the Agreement with 30 days’ written notice.
     

  • Upon termination, the Artisan must collect unsold Products within 15 business days. Products not collected after that period may be considered abandoned and become the property of the Store.

3. Pricing & Discounts

  • Retail prices will be mutually agreed upon in writing at the start of consignment.
     

  • The Store may occasionally discount Products up to 15% for sales or promotions without prior approval. Any deeper discounts require the Artisan’s written consent.
     

  • Both parties agree to collaborate on fair pricing that aligns with the Store’s customer base and market positioning.

4. Commission & Payment

  • Standard split: 50% to Artisan / 50% to Store (based on the final retail sale price).
     

  • Payment is issued within 30 days following the close of each calendar month.
     

  • Any processing fees (e.g., credit card fees) are absorbed by the Store, unless unusual transaction costs arise, in which case the Store will notify the Artisan.

5. Ownership & Risk of Loss

  • Ownership of Products remains with the Artisan until sold.
     

  • The Store will take reasonable care of Products while in its possession, including secure display and handling.
     

  • If Products are lost, stolen, or damaged due to the Store’s negligence, the Store will reimburse the Artisan for the wholesale value (the amount the Artisan would have received had the Product sold).
     

  • If loss or damage occurs due to unforeseen circumstances (fire, flood, natural disaster), the Artisan agrees the risk is shared and no reimbursement is owed.

6. Inventory & Display

  • The Store determines product placement and display but will make a good faith effort to present Products attractively.
     

  • The Store may rotate or remove Products from display at any time but will communicate changes that affect inventory availability.
     

  • The Artisan may request removal of Products with reasonable notice, provided the Store has the right to continue selling already-displayed items for 15 days after such request.

7. Marketing & Branding

  • The Store may use images, descriptions, or branding of the Products and the Artisan for promotional purposes (in-store displays, website, social media, email marketing).
     

  • The Artisan may use The Gray Hare’s name and logo to reference the consignment relationship in their own marketing, provided it is respectful and accurate.

8. Artisan Warranties

The Artisan warrants and represents that:

  • Products are original and do not infringe on intellectual property rights.
     

  • Products are safe, lawful, and meet applicable consumer standards.
     

  • The Artisan will indemnify and hold harmless the Store from claims related to design, copyright, or product safety.

​

9. Governing Law

This Agreement is governed by the laws of the State of Washington. Any disputes will be resolved in King County, WA, through mediation before legal action is pursued.

10. Entire Agreement

This document constitutes the entire agreement and supersedes any prior understanding. Amendments must be in writing and signed by both parties.
